The Argonauts offer access for individuals and companies (together the “Clients”) to websites (www.the-argonauts.com and others), different memberships, assessments, facilitated group discussions, events, online and offline programs, workshops, reports, coaching, access to Whatsapp and Facebook groups and other benefits (together the „Services“).
By accessing or using the Services you agree to be bound by these Terms and Conditions (“Terms”), which constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“You”), and The Argonauts B.V., located at Pontsteiger 159, 1014 ZP Amsterdam, The Netherlands (“We”, “Us” or „The Argonauts“) concerning the use of The Argonauts‘ Services.
These additional policies are part of the Terms:
You represent that you are over the age of 18. The Argonauts do not permit those under 18 to use the Service. In the case of a company using Our Services, You represent that you are validly representing the entity and are able to enter into a legally binding agreement.
Our Services are directed to people of all nations. The information and Services provided by The Argonauts is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion. By continuing to access or use Our Services after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Services.
Our full Code of Conduct sets out all the rules within our community and for the use of Our Services.
You may not use the community or Our Services for any purpose other than that for which we made the community and Our Services available. The community or Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by Us and specific parts of Our Services.
As a member of the Argonauts community, you agree not to (including but not limited to):
You warrant that any content You upload when using Our Services does not violate any copyright, privacy or any other laws.
If You violate the Terms or any other policies which are part of the Terms We can exclude You from using Our Services at our discretion. In this case You are not entitled to any reimbursement in case you signed up for any paid Memberships or Service.
We offer different memberships, assessments, mobile apps, facilitated group discussions, events, online and offline programs, workshops, reports, coaching, access to Whatsapp and Facebook groups, access to websites (www.the-argonauts.com and others), and other benefits. These Services are available to individuals and companies.
We provide services and offer products to companies and their management as well as staff members (“Corporate Services”). We offer digital and physical Corporate Services. They can consist of different standardized modules which can be purchased individually or in product or service bundles. We offer companies individual packages for their teams (“Team Solutions”) or entire companies (“Enterprise Solutions”). The scope of services and pricing is agreed upon individually between Us and the Clients. We will provide a bespoke offer which needs to be accepted by the Client.
We provide standardized services and products either physically or digitally to individuals (“Individual Services”). These can be purchased online or in physical locations either stand alone or in product bundles. The pricing valid at the time of purchase will be published by Us in the relevant sales channels and can be adjusted at any time without giving notice.
We offer different types of memberships to individuals and companies. The offer may be adjusted or discontinued at any time. Details of memberships are governed by section 4 and section 5 of these Terms and Conditions.
The Argonauts offer different levels of participation, memberships and product bundles. Some of the Services offered by The Argonauts are only accessible to certain membership or access categories:
As an “Explorer” You get access to the closed member groups of The Argonauts and can interact with other members. You get access to additional content, assessments and a broader selection of Services. The price of the Explorer Product Bundle and the Services and Product included are determined by Us and can be changed from time to time. Some of the Services offered to Explorers might require an additional payment or registration, which will be clearly indicated before an Explorer uses the Service. Prerequisite for an Explorer membership are a) a short assessment of Your Conscious Leadership State and b) providing certain personal information which will be treated according to Our Privacy Policy. Granting access to an Explorer membership is solely in our discretion based on factors in our determination including the results of the assessment.
Especially committed persons can also become a “Navigator”. Interested candidates have to complete all steps of the multi-tier application process before they can be admitted as Navigators. Conditions to be accepted as a Navigator are:
(a) Successful completion of an entry level assessment of Your Conscious Leadership State
(b) Successful completion of the Onboarding (previously known as Conversational Fluency Master Class) by Us. This requirement can be adapted by Us from time to time.
(c) Successful completion of a Discovery Call and a Commitment Call / Navigating Call
(d) Processing of relevant documents and content which have been provided by The Argonauts
(e) A unanimous positive vote by the Membership Committee.
It is in the sole discretion of The Argonauts to define, modify or amend the application process at any time. Admissions to the Navigator membership are at the sole discretion of The Argonauts.
Friends of Argonauts are Users that have signed up to our newsletter and receive regular content updates and information about activities and offerings of The Argonauts.
A Friends of The Argonauts membership can be cancelled at any time by unsubscribing from the Newsletter.
An Explorer membership can be cancelled at any time by cancelling without notice by sending an email to support@the-argonauts.com.
For Navigator members, we require an initial commitment of minimum 1 year to ensure a non-disruptive experience for all members of the Trust Circle. The first membership period lasts 12 months. It starts with the acceptance of your application by the membership committee. After the initial 12 months period, your membership will be renewed automatically every 3 months. If you wish to cancel your membership, you must notify us at least one month before the current period ends.
Memberships can be terminated at any time at the discretion of the Argonauts if the member violates these Terms, the Code of Conduct or any other policies listed in section 1.3. In this case no membership fees will be reimbursed. Members that have been terminated according to the first sentence can be banned from future applications to memberships. It is in our full discretion to accept any re-applications. In this case the full application process needs to be passed.
The Argonauts offer different memberships which have different fee structures as outlined in this section.
An Explorer membership is free of charge. Explorers have access to additional services and products which can require an additional one-time payment or a regular subscription payment. The conditions of such purchases and subscriptions will be outlined at the time of the transaction.
A Navigator membership is a paid membership. The Membership Fee is 1,050 Euros per quarter, and the first quarterly payment is due at the time of sign-up. This fee is non-refundable in case of membership cancellation for any reason.
The first membership period lasts 12 months (billed quarterly). It starts with the acceptance of your application by the membership committee. After the initial 12 months period, your membership will be renewed and billed automatically every 3 months.
A Navigator membership requires completing the Onboarding (formerly known as the Conversational Fluency Master Class) at a one-time cost of 1.790 EUR.
If you decide to cancel Your Navigator membership for whatever reason and You might want to rejoin in the future, you can apply for a Silent membership. This membership is available for 500 Euros for 12 months. It allows you to re-subscribe to a Navigator membership.
If You purchase more than one membership for Your family or Your business or in other cases We can make available group purchase conditions at our sole discretion and which require an individual agreement. Any past price adjustments or adjustments to other parties do not constitute a right for You to receive that same price again.
These fees and payment schedules are valid as of 1. October 2021.
All amounts for membership fees or products or services are denominated in Euro unless specified otherwise. Invoices are generally issued in Euro and can alternatively also be issued in US-Dollar. We accept payments in certain other currencies. We reserve the right to accept or not accept any given currency. From time to time We can add or discontinue the acceptance of any currency at Our discretion. If You make payments in other currencies any wire fees or foreign exchange fees or currency fluctuations need to be borne by You.
All fees shown in the Terms or offers for Company Services are net without any VAT. Depending on Your location and status You will have to pay additional Value Added Tax (“VAT”).
(a) If you are operating as a company and are based in Europe excl. The Netherlands, You need to supply Us with your VAT number in order to be eligible for the VAT reverse charge mechanism. If you do not supply Your VAT number, We will add VAT to Your membership fees.
(b) If you are based in The Netherlands, We will add the current percentage of VAT to your invoiced amounts and show the separate amounts in Your invoice.
All invoices are payable within 7 days (“Payment Period”). Any failure to pay any fees in time might lead to the suspension of services or membership features at the discretion of The Argonauts. A suspension of services or membership does not relieve You from Your payment obligation during such suspension due to Your non-payment of previous fees. For any fees due after the Payment Period an interest of 9% p.a. above the current base rate of the ECB will be charged.
Any prices for Services do not include any travel expenses, travel time, accommodation, or miscellaneous expenses. If they are incurred they will be billed and need to be paid separately.
Any date specific workshops, webinars or events (“Date”) which are organized on request of a Client can be cancelled more than 2 weeks in advance without incurring any cancellation fees. If a Date is cancelled with a notice of less than 2 but more than 1 weeks a cancellation fee of 25% applies. If a Date is cancelled with a notice of less than 1 week, but more than 3 business days a cancellation fee of 50% applies. If a Date is cancelled with a notice or 3 business days or less a cancellation fee of 100% applies.
In special hardship cases The Argonauts can agree at their sole discretion to pause payments by members or allow payments in installments. Any past discretionary concessions do not constitute a future right by the member. We reserve the right to adjust the level of membership rights or limit access to some of Our services if payments are not made in full in agreement with Us.
Currently, The Argonauts use Stripe and PayPal as payment processors. We can add other payment processors or discontinue using their services at Our discretion. Our third-party payment processors accept payments through methods detailed on the applicable payment screen, which may include various credit cards. By using such third-party payment processors, You agree to their terms and conditions of use. We do not guarantee any particular form of payment will be available to make a payment.
You represent and warrant that:
(a) all registration information You submit will be true, accurate, current, and complete and relate to You and not a third party.
(b) You will maintain the accuracy of such information and promptly update such information as necessary.
(c) You will keep your password confidential and will be responsible for all use of Your password and account.
(d) You have the legal capacity and You agree to comply with these Terms.
If You know or suspect that anyone other than You knows Your membership information (such as Your user name and password) You must promptly notify us at support@the-argonauts.com.
If You provide any information that is untrue, inaccurate, not current or incomplete, we may suspend or terminate Your membership at our discretion.
Members with an Explorer or Navigator membership allow Us to share their publicly accessible information such as name, organization, position, city and country of residence, Linkedin profile URL or photo with other Explorers and Navigators in the membership section of our website or other Services open to Explorer and Navigator members.
By entering additional information in Your membership profile You agree that this information can be shared with other Explorers or Navigators.
Unless otherwise indicated, the community, its website, and its services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site, programme materials, tutorial videos, presentations, exercises, workshop materials and reports (“Our Content”) are owned or licensed to us, and are protected by copyright laws. IQ+EQ=CQ, Conversational Fluency, Wisdom in Action, We A.R.E, We A.C.T., Argosphere, Argoverse, CSLP and Conscious State of Leadership Profile are trademarks owned by The Argonauts.
Except as expressly provided in these Terms and Conditions, no part of the Site, Services or Our Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
Provided that You are eligible to participate in the community or access individual products, You are granted a limited license to access and use the website and Our Content and to download or print a copy of any portion of the Content to which You have properly gained access solely for your personal, non-commercial use.
You shall not:
(a) try to gain unauthorized access to the website or any networks, servers or computer systems connected to the community; and/or
(b) make for any purpose including error correction, any modifications, adaptations, additions or enhancements to the website or Our Content, including the modification of the paper or digital copies you may have downloaded.
(c) download any data or information for uses outside of these Terms and the included Policies manually or with the support of any software or webservice nor engage in any activities such as scraping of content and information from the website or any other accessible place in which Services are offered by The Argonauts.
(d) pass on sensitive information such as Your log-in details to any other third person.
We shall:
(a) prepare the website, our services, and Our Content with reasonable skill and care; and
(b) use industry standard virus detection software to try to block the uploading of content to the website that contains viruses.
The content in the community is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from taking, any action on the basis of the content on the Site.
Although we make reasonable efforts to update the information on our website, we make no representations, warranties or guarantees, whether expressed or implied, that Our Content on the website is accurate, complete or up to date.
Visiting the website, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and You agree that all agreements, notices, disclosures, and other communications we provide to You electronically, via email and on the community website, satisfy any legal requirement that such communication be in writing. The words of which the initial letter is capitalized have meanings as defined in these Terms.
Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Terms shall not affect Our ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.
We shall not be responsible or liable for any loss, damage, delay or failure to act caused by any cause beyond our reasonable control.
If any provision or part of a provision of these Terms is unlawful, void or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
Our Service may contain links to third-party web sites or services that are not owned or controlled by Us. We do not have control over, and assume no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that The Argonauts shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.
These Terms, their subject matter and their formation (and any non-contractual disputes or claims), are governed by law of The Netherlands. You agree that the courts of Amsterdam, The Netherlands will have exclusive jurisdiction.
A person who is not a party to these Terms shall have no right to enforce any term of these Terms and Conditions.
If any provision or part of a provision of these Terms and Conditions is unlawful, void or unenforceable, that provision or part of the provision is deemed severable from these Terms and Conditions and does not affect the validity and enforceability of any remaining provisions.
