1. Agreement to terms

A new version of these Terms & Conditions is available as of January 1, 2023.

1.1

The Argonauts offer access to websites (www.the-argonauts.com and others), different memberships, assessments, mobile apps, facilitated group discussions, events, online and offline programs and other benefits (together the „Services“)

1.2

By accessing or using the Services you agree to be bound by these Terms and Conditions (“Terms”), which constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“You”), and The Argonauts Community AG, located at Schumannstrasse 14b, 10117 Berlin, Germany (“We”, “Us” or „The Argonauts“) concerning the use of The Argonauts‘ Services.

1.3

These additional policies are part of the Terms:

  • Our Privacy and Cookie Policy, which sets out the terms on which we process any personal data we collect from You, or that You provide to us, as well as information about the cookies on our websites. By using the websites, You consent to such processing and You warrant that all data provided by You is accurate.
  • Our Code of Conduct, which sets out the permitted actions and prohibited actions within the community. When participating in the community, You must comply with this Code of Conduct.
  • Our Trust Circle Principles including the Confidentiality Agreement, which You are asked to sign prior to joining your Trust Circle. The two documents define the framework for the interaction within Trust Circles.
  • Our EULA (End User License Agreement) for our mobile app with which You can access the Services of The Argonauts on Your mobile phone.
  • Any part of Our Services might require Your consent to additional policies which will be shared with you before starting to use any such Service, be it paid or unpaid.

1.4

You represent that you are over the age of 18. The Argonauts do not permit those under 18 to use the Service.

1.5

Our Services are directed to people of all nations. The information and Services provided by The Argonauts is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.

1.6

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion. By continuing to access or use Our Services after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Services. 

2. Acceptable use

2.1

Our full Code of Conduct sets out all the rules within our community and for the use of Our Services.

2.2

You may not use the community or Our Services for any purpose other than that for which we made the community and Our Services available. The community or Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by Us and specific parts of Our Services.

2.3

As a member of the Argonauts community, you agree not to (including but not limited to):

  • Misrepresent experience, skills, or information about a member
  • Harass, annoy, intimidate, or threaten any of our members or employees
  • Use any information obtained from the community or through our services, e.g one of the Circles, in order to harass, abuse, or harm another person (referring again to the Code of Conduct)
  • Threaten members with negative feedback or offering services solely to give positive feedback 
  • Make improper use of our support services, or submit false reports of abuse or misconduct
  • Falsely imply a relationship with Us or another company with whom You do not have a relationship
  • Use the community to advertise or sell goods and services outside of the scope of the Services We offer.
  • Use the community or Our content as part of any effort to compete with Us or to create a revenue-generating endeavor or commercial enterprise
  • Sell or otherwise transfer Your profile
  • Attempt to impersonate another member or person, or use the account of another member
  • Trick, defraud, or mislead Us and other members, especially in any attempt to learn sensitive account information such as user passwords
  • Retrieve data or other content from the community to a compile database or directory without written permission from us
  • Make any unauthorized use of the community, including collecting usernames and/or email addresses of members to send unsolicited emails
  • Circumvent, disable, or otherwise interfere with security-related features of the community, including features that prevent or restrict the use or copying of any content or enforce limitations on the use
  • Engage in unauthorized framing of or linking to the community
  • Attempt to access any portions of the community that you are restricted from accessing
  • Delete the copyright or other proprietary rights notice from any of the content
  • Use the community in a manner inconsistent with any applicable laws or regulations
2.4

You warrant that any content You upload when using Our Services does not violate any copyright, privacy or any other laws. 

2.5

If You violate the Terms or any other policies which are part of the Terms We can exclude You from using Our Services at our discretion. In this case You are not entitled to any reimbursement in case you signed up for any paid Memberships or Service. 

3. Membership categories

3.1

The Argonauts offer different levels of participation and memberships. Some of the Services offered by The Argonauts are only accessible to certain membership categories:

3.2

You become a “Friends of The Argonauts” if You subscribe to the newsletter of The Argonauts. With this You get access to free content, assessments and selected online events and receive regular content updates and information about activities and offerings of The Argonauts. This membership is free of charge and does not have any specific requirements.

3.3

As an “Explorer” You get access to the closed membership site of the Argonauts and can interact with other members. You get access to additional content, assessments and a broader selection of Services. The Explorer Membership is free of charge. Some of the Services offered to Explorers might need to be paid, which will be clearly indicated before an Explorer uses the Service. Pre-requisite for an Explorer membership are a) a short assessment of Your conscious leadership state and b) providing certain personal information which will be treated according to Our Privacy Policy. Granting access to an Explorer membership is solely in our discretion based on factors in our determination including the results of the assessment.   

3.4

Especially committed persons can also become a “Navigator”. Interested candidates have to complete all steps of the multi-tier application process before they can be admitted as Navigators. Conditions to be accepted as a Navigator are:

(a) Successful completion of an entry level assessment of Your Conscious Leadership State

(b) Successful completion of a Discovery Call and a Commitment Call

(c) Processing of relevant documents and content which have been provided by The Argonauts

(d) A unanimous positive vote by the Membership Committee.

(e) Payment of the Initiation Fee as described in Section 4 Membership Fees 

It is in the sole discretion of The Argonauts to define, modify or amend the application process at any time. Admissions to the Navigator membership are at the sole discretion of The Argonauts. 

3.5

Friends of Argonauts, signing up to our newsletter and receiving regular content updates and information about activities and offerings of The Argonauts.

3.6

A Friends of The Argonauts membership can be cancelled at any time by signing out of the Newsletter. An Explorer membership can be cancelled at any time by cancelling the membership on the membership section of the membership platform. A Navigator membership can be cancelled with three months’ notice towards the end of the membership year. If a Navigator membership is not cancelled it will automatically renew for another year and the yearly membership fees will be due at the time of renewal.

3.7

Memberships can be terminated at any time at the discretion of the Argonauts if the member violates these Terms, the Code of Conduct or any other policies listed in section 1.3. In this case no membership fees will be reimbursed. Members that have been terminated according to the first sentence can be banned from future applications to memberships. It is in our full discretion to accept any re-applications. In this case the full application process needs to be passed including the payment of any applicable sign-up or initiation fees.

4. Membership fees

4.1

The Argonauts offer different memberships which have different fee structures as outlined in this section. 

4.2

An Explorer membership is free of charge. Explorers have access to additional services and products which can require an additional one-time payment or a regular subscription payment. The conditions of such purchases and subscriptions will be outlined at the time of the transaction.

4.3

A Navigator membership is a paid membership. It consists of two components:

(a) An Initiation Fee of 2.500 US-Dollar. The Initiation Fee is a one-off fee which covers the application process and the 8-week initiation process. It is non-reimbursable in the case of a membership cancellation for any reason. 

(b) An Annual Membership Fee of 4.200 US-Dollar. It covers a membership period of 12 months. The Annual Membership Fee is due upfront at the time of the initial signup respectively at the time of membership renewal. It is non-reimbursable in the case of a membership cancellation for any reason. The first 12-month membership period starts two months after the initial signup which are reserved for the initiation process. 

4.4

If you decide to cancel Your Navigator membership for whatever reason and You might want to rejoin in the future, you can apply for a Silent membership. This membership is available for 500 Euros for 12 months. It allows you to re-subscribe to a Navigator membership with incurring the Initiation Fee. 

4.5

If You purchase more than one membership for Your family or Your business or in other cases We can make available group purchase conditions at our sole discretion and which require an individual agreement. Any past price adjustments or adjustments to other parties do not constitute a right for You to receive that same price again.

4.6

These fees and payment schedules are valid as of 1. February 2022. Any differing fees and payment schedules that were agreed upon before 1. February 2022 which are applicable to You will be grandfathered until 31. December 2022. On 1. January 2023 the above membership fees and payment terms will apply to all members in their respective categories.

4.7

All amounts for membership fees are denominated in US-Dollar. Invoices are issued in US-Dollar. We accept payments in certain other currencies. We reserve the right to accept or not accept any given currency. From time to time We can add or discontinue the acceptance of any currency at Our discretion. If You make payments in other currencies any wire fees or foreign exchange fees or currency fluctuations need to be borne by You. 

4.8

All fees shown in the Terms are net without any VAT. Depending on Your location and status You will have to pay additional Value Added Tax (“VAT”). 

(a) If you are operating as a company and are based in Europe excl. Germany You need to supply Us with your VAT number in order to be eligible for the VAT reverse charge mechanism. If you do not supply Your VAT number, We will add VAT to Your membership fees. 

(b) If you are based in Germany, We will add the current percentage of VAT to your membership fees and show the separate amounts in Your invoice.

4.9

All invoices are payable within 7 days. Any failure to pay any fees in time might lead to the suspension of services or membership features at the discretion of The Argonauts.

4.10

In special hardship cases The Argonauts can agree at their sole discretion to pause payments by members or allow payments in installments. Any past discretionary concessions do not constitute a future right by the member. We reserve the right to adjust the level of membership rights or limit access to some of Our services if payments are not made in full in agreement with Us.

4.11

Currently, The Argonauts use Stripe and PayPal as payment processors. We can add other payment processors or discontinue using their services at Our discretion. Our third-party payment processors accept payments through methods detailed on the applicable payment screen, which may include various credit cards. By using such third-party payment processors, You agree to their terms and conditions of use. We do not guarantee any particular form of payment will be available to make a payment.

5. Information provided

5.1

You represent and warrant that:

(a) all registration information You submit will be true, accurate, current, and complete and relate to You and not a third party.

(b) You will maintain the accuracy of such information and promptly update such information as necessary.

(c) You will keep your password confidential and will be responsible for all use of Your password and account.

(d) You have the legal capacity and You agree to comply with these Terms. 

5.2

If You know or suspect that anyone other than You knows Your membership information (such as Your user name and password) You must promptly notify us at support@the-argonauts.com.

5.3

If You provide any information that is untrue, inaccurate, not current or incomplete, we may suspend or terminate Your membership at our discretion.

5.4

Members with an Explorer or Navigator membership allow Us to share their publicly accessible information such as name, organization, position, city and country of residence, Linkedin profile URL or photo with other Explorers and Navigators in the membership section of our website or other Services open to Explorer and Navigator members.

5.5

By entering additional information in Your membership profile You agree that this information can be shared with other Explorers or Navigators. 

6. Our content and information

6.1

Unless otherwise indicated, the community, its website, and its services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (“Our Content”) are owned or licensed to us, and are protected by copyright laws.

6.2

Except as expressly provided in these Terms and Conditions, no part of the Site, Services or Our Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

6.3

Provided that You are eligible to participate in the community, You are granted a limited license to access and use the website and Our Content and to download or print a copy of any portion of the Content to which You have properly gained access solely for your personal, non-commercial use. 

6.4

You shall not:

(a) try to gain unauthorized access to the website or any networks, servers or computer systems connected to the community; and/or

(b) make for any purpose including error correction, any modifications, adaptations, additions or enhancements to the website or Our Content, including the modification of the paper or digital copies you may have downloaded.

(c) download any data or information for uses outside of these Terms and the included Policies manually or with the support of any software or webservice nor engage in any activities such as scraping of content and information from the website or any other accessible place in which Services are offered by The Argonauts.

(d) pass on sensitive information such as Your log-in details to any other third person.

6.5

We shall:

(a) prepare the website, our services, and Our Content with reasonable skill and care; and

(b) use industry standard virus detection software to try to block the uploading of content to the website that contains viruses.

6.6

The content in the community is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from taking, any action on the basis of the content on the Site.

6.7

Although we make reasonable efforts to update the information on our website, we make no representations, warranties or guarantees, whether express or implied, that Our Content on the website is accurate, complete or up to date.

7. Miscellanous

7.1

Visiting the website, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and You agree that all agreements, notices, disclosures, and other communications we provide to You electronically, via email and on the community website, satisfy any legal requirement that such communication be in writing.

7.2

You hereby agree to the use of electronic signatures, contracts, orders and other records and to electronic delivery of notices, policies, and records of transactions initiated or completed by Us or via the website. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by other than electronic means.

7.3

The words of which the initial letter is capitalized have meanings as defined in these Terms. 

7.4

Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Terms shall not affect Our ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.

7.5

We shall not be responsible or liable for any loss, damage, delay or failure to act caused by any cause beyond our reasonable control.

7.6

If any provision or part of a provision of these Terms is unlawful, void or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.

7.7

Our Service may contain links to third-party web sites or services that are not owned or controlled by Us. We do not have control over, and assume no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that The Argonauts shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services. 

7.8

These Terms, their subject matter and their formation (and any non-contractual disputes or claims), are governed by German law. You agree that the courts of Berlin, Germany will have exclusive jurisdiction. 

7.9

A person who is not a party to these Terms shall have no to enforce any term of these Terms and Conditions.

7.10

If any provision or part of a provision of these Terms and Conditions is unlawful, void or unenforceable, that provision or part of the provision is deemed severable from these Terms and Conditions and does not affect the validity and enforceability of any remaining provisions.

8. End User License Agreement

The End User License Agreement (“Agreement”) is between you and The Argonauts Community AG  (“The Argonauts Community”) and governs use of The Argonauts’ app made available through the Apple App Store. By installing the “The Argonauts” App, you agree to be bound by this Agreement and understand that there is no tolerance for objectionable content. If you do not agree with the terms and conditions of this Agreement, you are not entitled to use the “The Argonauts” App.

In order to ensure The Argonauts Community provides the best experience possible for everyone, we strongly enforce a no tolerance policy for objectionable content. If you see inappropriate content, please use the “Report as offensive” feature found under each post. 

8.1 Parties

This Agreement is between you and The Argonauts Community only, and not Apple, Inc. (“Apple”). Notwithstanding the foregoing, you acknowledge that Apple and its subsidiaries are third party beneficiaries of this Agreement and Apple has the right to enforce this Agreement against you. The Argonauts Community, not Apple, is solely responsible for the “The Argonauts” App and its content.

8.2 Privacy

The Argonauts Community may collect and use information about your usage of the “The Argonauts” App, including certain types of information from and about your device. The Argonauts Community may use this information, as long as it is in a form that does not personally identify you, to measure the use and performance of the “The Argonauts” App.

8.3 Limited License

The Argonauts Community grants you a limited, non-exclusive, non-transferable, revocable license to use the “The Argonauts” App for your personal, non-commercial purposes. You may only use the “The Argonauts” App on Apple devices that you own or control and as permitted by the App Store Terms of Service.

8.4 Age Restrictions

By using the “The Argonauts” App, you represent and warrant that (a) you are 17 years of age or older and you agree to be bound by this Agreement; (b) if you are under 17 years of age, you have obtained verifiable consent from a parent or legal guardian; and (c) your use of the “The Argonauts” App does not violate any applicable law or regulation. Your access to the “The Argonauts” App may be terminated without warning if The Argonauts Community believes, in its sole discretion, that you are under the age of 17 years and have not obtained verifiable consent from a parent or legal guardian. If you are a parent or legal guardian and you provide your consent to your child’s use of the “The Argonauts” App, you agree to be bound by this Agreement in respect to your child’s use of the “The Argonauts” App.

8.5 Objectionable Content Policy

Content may not be submitted to The Argonauts Community, who will moderate all content and ultimately decide whether or not to post a submission to the extent such content includes, is in conjunction with, or alongside any, Objectionable Content. Objectionable Content includes, but is not limited to: (i) sexually explicit materials; (ii) obscene, defamatory, libelous, slanderous, violent and/or unlawful content or profanity; (iii) content that infringes upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary right, or that is deceptive or fraudulent; (iv) content that promotes the use or sale of illegal or regulated substances, tobacco products, ammunition and/or firearms; and (v) gambling, including without limitation, any online casino, sports books, bingo or poker.

8.6 Warranty

The Argonauts Community disclaims all warranties about the “The Argonauts” App to the fullest extent permitted by law. To the extent any warranty exists under law that cannot be disclaimed, The Argonauts Community, not Apple, shall be solely responsible for such warranty.

8.7 Maintenance and Support

The Argonauts Community does provide minimal maintenance or support for it but not to the extent that any maintenance or support is required by applicable law, The Argonauts Community, not Apple, shall be obligated to furnish any such maintenance or support. 

8.8 Product Claims

The Argonauts Community, not Apple, is responsible for addressing any claims by you relating to the “The Argonauts” App or use of it, including, but not limited to: (i) any product liability claim; (ii) any claim that the “The Argonauts” App fails to conform to any applicable legal or regulatory requirement; and (iii) any claim arising under consumer protection or similar legislation. Nothing in this Agreement shall be deemed an admission that you may have such claims.

8.9 Third Party Intellectual Property Claims

The Argonauts Community shall not be obligated to indemnify or defend you with respect to any third party claim arising out or relating to the “The Argonauts” App. To the extent The Argonauts Community is required to provide indemnification by applicable law, The Argonauts Community, not Apple, shall be solely responsible for the investigation, defense, settlement and discharge of any claim that the “The Argonauts” App or your use of it infringes any third party intellectual property right.
